These general terms and conditions (the “T&C”), , our privacy policy available at https://www.admitspot.com/privacy_policy(the “Privacy Policy”) and each document referred in the General Terms and the Privacy Policy (collectively, the “Agreement”) is a legal agreement between you (referred to in this Agreement as “you” or “your”) and AdmitSpot Inc. (“us”, “AdmitSpot” or the “Company”), respecting your use of the Services (defined in Part 1 below).

BY INDICATING YOUR ACCEPTANCE BY CLICKING ON THE APPROPRIATE BUTTON WHEN SIGNING UP FOR THE SERVICES, OR BY OTHERWISE USING THE SERVICES, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENTS. IF YOU DO NOT ACCEPT AND AGREE TO BE BOUND BY THE AGREEMENT, DO NOT ACCESS OR USE THE WEBSITE OR THE SERVICES. IF YOU ACCESS THE WEBSITE WITHOUT ACCEPTING THE T&C, ANY USE OF INFORMATION FROM THE WEBSITE BY YOU SHALL BE WITHOUT AUTHORIZATION FROM THE COMPANY AND WITHOUT ANY PREJUDICE TO THE COMPANY. DEFINITIONS

Website
The AdmitSpot online platform which shall be point of contact between You and the Company and shall deal with various issues including Agreements, services, contact information and contains all important information regarding Services offered by the Company.
RCIC
Shall mean Regulated Canadian Immigration Consultant of the CICC.
Agreements
Shall mean General Retainer Agreement, Initial Consultation Agreement or Retainer Agreement between RCIC and the Client. This term Agreements can either mean all agreements together or individually as the case may be.
Services
Shall included Career Counselling Services; Admission Processing Services; Employment search services; Resume / LinkedIn Profile Revamping Services; Professional Career Coaching Services; Community Outreach Services; Interview Preparation Services; Student / Professional Mentor Connect Services; Support Services; Banking Operations Support; Immigration Services Regulated by CICC, to be exclusively provided by the RCIC; and all other services as specifically mentioned in the Agreements.
Immigration Services
Shall mean Initial Immigration Consultation, Visa & Immigration and Refugee Application services and related consultation and advisory services exclusively offered by the RCIC, and regulated by the CICC.
IRCC
Shall mean Immigration, Refugee and Citizenship Canada.
CICC
Shall mean College of Immigration Consultants of Canada.
Client
Means a person or entity whose interests AS and /or RCIC undertakes to represent for a fee or other consideration, specifically for Services or Immigration Services as agreed.
Colleges & Universities
Includes various post-secondary educational institutions located throughout Canada.
AdmitSpot Partner
Shall mean 3rd party affiliate education support network partnered with the Company.
Affiliate network
The business associate network referring new clients to the Company.
Employees
Shall include everyone designated as an employee by the Company, including an RCIC.
Admissions Expert
Those employees specifically hired by the Company for admission Services to Colleges & Universities.
Career Counselling Expert
Those employees specifically hired by the Company for Career Counselling Services.
Third Party Software’s
Those Software’s installed by the Company, required to provide services to You.
Feedback
Shall mean comments, advise, suggestions about Services of the Company provided by a Client, which is used as a basis for improvement of the Services.
Program
Shall mean educational program offered by various Colleges & Universities across Canada.
Content
Shall mean all related content on the Companies Website.
Visa Application Expert
A documentation expert hired by the Company under the guidance of RCIC, to compile and finalize documents for the Clients.

GENERAL RETAINER TO BE EXECUTED BETWEEN THE PARTIES

Pursuant to these T&C, You shall execute a General Retainer Agreement with the Company specifically detailing out terms of engagement, between the Company and You/Client, with respect to the Services.

Part 1 - Services
You understand and agree that the Company provides the Services against fee and the said Services shall be provided only when you sign these Terms and Conditions and the specific Agreements for Services. The Agreements, shall be governed by the terms and conditions as contained in those Agreement to be read in conjunction with the T&C.
The nature of application and /or Program under which the Client is seeking representation has to be specified by you in the Agreements (hereinafter referred to as the "Application” and /or “Application Category”)
The Company will provide you access to certain proprietary information, material or content (including, pricing, features, promotions) and information of third parties, through its Website (the “Content”) to assist you through the process of availing Services within North America.
The Company will provide you with the ability to input Your Data into the Website and will act as an intermediary to pass Your Data to the AdmitSpot Partners, and/or Colleges & Universities to enable you to apply to Programs offered by various Colleges & Universities in North America ; and
The Company will facilitate the Website, assisting you with communications with the applicable Partners, passing through Application fees and other payments associated with an Application and/or Program, and providing guidance and advice associated with an Application and/or Program.
Part 2 - License
The Company hereby grants you a personal, non-exclusive, revocable, non-transferable license to access the Website solely for the purposes of using the Services, view the Content (subject to any restrictions set out in the Content), and submit an Application and/or apply to Programs offered.
Any suggestions, bug reports or other communications respecting the functionality of the Website that you provide (a “Submission”), will be considered non-confidential and may be disseminated or used by us or any third party without compensation or liability to you for any purpose. You hereby grant AdmitSpot Inc. & its Partners , , employees and successors a perpetual, worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, copy, distribute, transmit, modify, develop, prepare derivative works of any submission on, through or in connection with the Services, including for promoting, improving and developing the Website.
Part 3 - Representations and Warranties
You covenant, represent and warrant that:
  • You have reached the age of majority in your jurisdiction of residence and have the right to enter into the Agreements and have legal authority to create a binding legal obligation.
  • You will not permit anyone other than yourself or your authorized designate to obtain access to the Website through your account or otherwise using your Access Information.
  • You will only use the Website and Services in accordance with these Terms and Conditions and the Agreements and applicable provincial Law.
  • You will comply with any and all AdmitSpot Partner and/or IRCC established policies and procedures applicable to your Application and /or Program.
  • Your Data is true, accurate, current and complete, and you will promptly notify us or update Your Data on the Website.
  • You will be solely responsible for all activities with respect to the Website and Services undertaken by you or your designates.
  • You will not use the Website to provide commercial services to, or for the benefit of, any third party.
  • You have the right to use the Website, and to post or upload any content to or otherwise provide such content and Your Data to us, as is required to assist You in providing the Services.
  • You are not located in a country that is subject to a Canadian Government embargo or sanctions that would prevent your from becoming a student, Permanent Resident, Work Permit Holder, Visitor and/or applying for a job in Canada.
  • You are not listed on any Canadian Provincial and/or federal Authority lists of prohibited or restricted parties.
  • You agree to obtain all authorizations necessary from all third parties for your use of any third-party data in conjunction with the Website and Services.
You will cooperate with:
  • Governmental or Regulatory Authorities in the investigation of suspected criminal violations.
  • AdmitSpot Partners or Colleges & Universities or IRCC as the case may be, investigating academic fraud or other misdemeanours, relating to your Application and/or Program or otherwise; and
  • System administrators at Internet service providers, networks or computing facilities, and other content providers, in order to enable us to enforce the terms and conditions of this Agreement.
  • You will promptly and accurately report to us any actual or apparent errors, problems, non-conformities or other difficulties with the Website, along with any other information requested to aid in resolving such errors, problems, nonconformities or other difficulties, and hereby consent to the collection, processing, transmission and disclosure of such information by us for our internal use to improve the Website and Services.
Part 4 -Responsible Use of Our Services
By agreeing to work with Us, You receive access to the Company’s Services. This does not mean We are licensing any part of our intellectual property, including, but not limited to our personal assessment documents, intake forms, logos, color scheme, branding elements, website look and feel, or trademarks to You. The rights provided to You under this Agreement are meant to allow You to use our Services for Your use only. Any use of our Services outside the predetermined scope of what they can be used for will be considered a violation of law and might lead to criminal charges resulting in prosecution.
You do not acquire any intellectual property or other proprietary rights under this Agreement, including any right, title or interest in and to patents, copyrights, trade-marks, industrial designs, confidential information, or trade secrets, whether registered or unregistered, relating to the Website or Services, or any part thereof. Any rights not expressly granted under this Agreement are reserved to the Company or its third-party licensors.
As such, You are not allowed to:
  • Engage in any unlawful or illegal use of our Services. Users found to be engaging in any violation of law will be immediately banned from our Services and reported to law enforcement authorities.
  • Engage in any activity that disrupts or modifies our Services for Yourself or other users. This can include trying to modify Our cloud-based document sharing softwares, communication tools, website, or change the look and feel of the user experience without our explicit written consent from the Company.
  • Use of our Services for any purposes other than the ones explicitly listed in this Agreement. This includes selling, renting, sublicensing, transferring, modifying, leasing, republishing, copying any part of Our Services or its derivatives.
  • Access Our Services through means other than those listed in this Agreement.
It is up to YOU to make sure:
  • That the Services are being used in a lawful, ethical, and responsible manner. If the Company learns about the violation of any Federal, Provincial or local laws by You, the Company has the exclusive right to end access to its Services.
  • Services are not being used to harm any person or organization.
  • Users might be temporarily or permanently be banned from using Company’s services and/or face criminal prosecution and be liable for damages if the Company learns about irresponsible use of our its Services.
Prohibition of Sensitive Data Collection:
  • The Company’s Services cannot be used by You to collect, analyze, or store any sensitive information under any circumstances. This includes information on an individual’s mental health, race, sexual orientation, political or religious affiliation
Part 5 - Restrictions and Limitations
The Website and Services will be subject to policies provided to you by AdmitSpot from time to time, including by posting on the Website and you are solely responsible for compliance with such policies.
Part 6 – Data
In order to use the Website and receive the Services, all of Your data (including financial data provided to our payment processor) provided to us must be complete and accurate and you must at all times provide up-to-date complete and accurate Personal Information or other data submitted by you to the Website or otherwise provided to us, including name information, contact information, citizenship and legal status, gender, date of birth, home and mailing address, marital status, emergency contact information, financial information, education qualification, employment information, educational information, transcript, test scores, passport details, information required for visa application, including financial and medical information (“Your Data”), as requested by us via the Website, and as required to process your Application.
Nothing herein transfers any ownership of Your Data to us in its original form.
Quality – AdmitSpot does not assess Your Data for quality or otherwise and together with all AdmitSpot Partners, is relying on the accuracy of Your Data to provide the Services. Any feedback that you receive respecting Your Data is not as the result of any specific examination of the data by us, or any judgment exercised by us respecting Your Data, but rather is solely based on the compliance requirements of AdmitSpot Partners and/or Colleges & Universities.
Consent to Processing of Your Data - In providing the Services and Website, AdmitSpot will collect, process, transmit and disclose Your Data to AdmitSpot Partners and their service providers and/or Colleges & Universities, and you hereby specifically consent to: Your Data being provided to third parties as part of the provision of the Services to you, and Governmental or Regulatory Authorities, as required; and communications from us (including e-mail communications, both marketing and informational) respecting the Services and other products to be offered by AdmitSpot.
Storage of Your Data in Other Jurisdictions - You acknowledge that, due to the nature of the Services and Website, Your Data uploaded to the Website may be hosted on servers residing in jurisdictions other than Canada, over which we have no direct control. By using the Website and the Services, Your Data may become, during the period that Your Data is hosted on such servers, subject to the Applicable Laws of the jurisdiction in which such servers reside or to the terms of agreements respecting the hosting of data on such servers.
Access Information - We will provide you with one or more user IDs and passwords and/or the ability to create user IDs and/or passwords (the “Access Information”). The Access Information is provided on the understanding that it is personal to you; you will not permit anyone other than you or your authorized representatives to obtain access to the Website using the Access Information.
Storage of Date with AdmitSpot Partners and College & Universities:
As part of providing Services, You and Your Data may be shared with AdmitSpot Partners and Colleges & Universities. You acknowledge, agree and understand that the Company shall not be held liable for any loss or damages of whatsoever kind for breach of confidential information because of compromise in safety and security of Your Data in possession of AdmitSpot Partners and Colleges & Universities
Part 7 - Changes to T&C and Services
We reserve the right to change these T&C at any time without notice. Your continued access to or use of the Website after any changes indicates your acceptance of such changes. It is your responsibility to review these T&C regularly.
We reserve the right to change, suspend or discontinue the Services and the Website at any time, including the availability of any Content at any time, and from time to time, without notice.
We retain the right to edit or remove any of Your Data that, in our sole discretion, we believe may be unlawful, obscene, abusive, or otherwise objectionable.
Part 8 - Suspension or Revocation of Use of Website
We may impose limits on the Website or Services or terminate or restrict your access to parts or all of the Website without liability. We will use commercially reasonable efforts to provide you with advance notice of such changes, limitations or discontinuance; however, you acknowledge that such notice may not be feasible in all circumstances, and that we will have no liability whatsoever for its failure to provide such notice to you.
We reserves the right to revoke your access to the Website and Services for any abusive conduct or fraudulent use of the Website or Services and to cease your access if your use constitutes, in our sole discretion, a threat to Website or any third party’s computer systems, networks, files, materials or other data, or a breach of Agreements.
We may limit your activity, issue a warning, temporarily suspend, indefinitely suspend or terminate your account and refuse to provide the Services to you if: (a) you breach the T&C, the Agreements or the documents it incorporates by reference; (b) we are unable to verify or authenticate any information you provide; (c) we believe that your actions may cause financial loss or legal liability for you, AdmitSpot Partners, other users or the Company or (d) you provide Information or documents that are fraudulent or knowingly provide information or documents that you are aware are fraudulent. The actions in this Part 7 are not our exclusive remedies and we may take any other legal, equitable or technical action it deems appropriate in the circumstances. We will not have any liability to you or any third party in relation to the termination of this Agreement for any reason whatsoever.
Part 9 - Fees
You shall pay all applicable fees in connection with the Services as specified in the Agreements, which we may modify from time to time, as provided to you in the currency quoted. Notwithstanding anything contained in the Agreements, we reserve the right not to process your Application prior to obtaining full payment of fees.
Depending on where you access the Services from, additional fees may be payable as part of submitting your Application and/or Program, including those set by AdmitSpot Partners and/or Colleges & Universities and other third parties. Fees payable are not refundable, including without limitation, if you fail to provide all necessary documents and information to complete an Application, your visa is denied or you cancel your Application before the applicable AdmitSpot Partners and/or Colleges & Universities determines your eligibility.
Where you pay fees via credit card, you authorize us or our third-party payment processors to charge you for any and all fees incurred by you in relation to use of the Website and the Services. If your credit card payment is rejected for any reason, you will be responsible for any fees, penalty and charges associated with such rejection.
Late payments will be charged interest at the lesser of 1.5% per month or the maximum rate permitted by Applicable Law, calculated as of the due date for such payment.
You will also be responsible for paying for all reasonable fees and costs incurred by AdmitSpot, including legal fees, in collecting any overdue amounts or enforcing any provision of this Agreement.
You hereby agree NOT to dispute any fee that is charged in pursuance to any Agreements that you enter with the Company and/or the RCIC.
You hereby agree NOT to raise a dispute with any Financial Institution challenging any fee paid via a third party payment processor.
Part 10 - Taxes
You are responsible for all taxes relating to this Agreement. All amounts payable by you under the T&C the Agreements or otherwise informed to you by the Company (unless otherwise noted) are exclusive of any tax, duty, levy, or similar government charge that may be assessed by any jurisdiction, whether based on gross revenue, the delivery, possession or use of the Website, the execution of this Agreement or otherwise.
Part 11 - Term and Termination
These T&C, and the Agreements are effective on your acceptance on the Website. We may terminate your use of the Website, features, functionality, products and services made available in connection therewith, at any time and for any reason, with or without cause, without prior notice to you and without any liability or further obligation of any kind whatsoever to you or any other party.
If You wish to terminate your use of the Website and the Services, you may do so by closing your Account as per the feature available on your login page. Your account will be closed a) subject to payment of all outstanding fee and disbursement provided that (i) any disputes in which you have been involved have been satisfactorily resolved; (ii) you have met all outstanding payment obligations associated with your account; and (iii) you have completed any other obligation(s) associated with your use of the Website and Services.
In the event of termination of these T&C by the Company or by You, all other related Agreements executed between the Company and You shall be automatically terminated. On termination or expiry of this Agreement, you must cease all use of the Website and Services. The termination of this Agreement by either Party does not affect any accrued rights, obligations or remedies of either Party.
Part 12 - Disclaimers
YOUR USE OF THE PLATFORM IS PROVIDED TO YOU "AS IS" AND “AS AVAILABLE”. WE EXPRESSLY DISCLAIM ALL OTHER REPRESENTATIONS, WARRANTIES, AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY REPRESENTATION, WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, OR ANY WARRANTY ARISING FROM A COURSE OF DEALING, PERFORMANCE, OR TRADE USAGE. YOUR SOLE AND EXCLUSIVE REMEDY, AND OUR SOLE OBLIGATION TO YOU OR ANY THIRD PARTY FOR ANY CLAIM ARISING OUT OF YOUR USE OF THE PLATFORM, IS THAT YOU ARE FREE TO DISCONTINUE YOUR USE OF THE PLATFORM AT ANY TIME.
Any material, brief, document, suggestion, or information provide to You or available to You from the Website (“Material”), may contain inaccuracies or typographical errors. The Company makes no representations about the accuracy, reliability, completeness, or timeliness of the Web Site or the Material. The use of the Web Site and the Material is at your own risk. Changes are periodically made to the Web Site and may be made at any time.
You acknowledge and agree that you are solely responsible for the form, content and accuracy of any Resume or material contained therein placed by you on the Web Site.
The Company is not to be considered to be an employer with respect to Your use of the Web Site and the Company shall not be responsible for any employment decisions, for whatever reason made by You regarding any job positing on the Website by potential employers.
WE WILL HAVE NO LIABILITY WHATSOEVER TO YOU OR ANY PARTY CLAIMING BY OR THROUGH YOU FOR THE TIMELINESS OR CONTINUED AVAILABILITY OF THE WEBSITE.

You acknowledge and agree:
  • That all /any decision(s) made by AdmitSpot Partners, Colleges & Universities or the IRCC concerning an Application and/or Program is at the sole discretion of AdmitSpot Partners, Colleges & Universities or the IRCC.
  • The success of your Application or admission into a Program is solely based on the merit of Your Application or documents provided to the Company and /or filed by You or by the Company on Your behalf.
  • You are solely responsible for fulfilling any entry requirements necessary to gain admission into the country where your Program is located in compliance with Applicable Law and any requirements of Governmental or Regulatory Authorities.
  • That You are responsible for implementing safeguards to protect the security and integrity of your computer system, and you are responsible for the entire cost of any service, repairs or connections of and to your computer system that may be necessary as a result of your use of the Website.
  • We cannot guarantee the confidentiality of any communications made by your through the Website, over the internet or over the telephone; and
  • We cannot and do not guarantee the security of data transmitted over the Internet or public networks in connection with your use of the Website.
Part 13 – Indemnity and Limitation of Liability
Disclaimer of Consequential Damages.
IN NO EVENT SHALL THE COMPANY, ITS SUPPLIERS, ADMITSPOT PARTNERS, COLLEGES & UNIVERSITIES, EMPLOYERS OR ANY THIRD PARTIES MENTIONED AT THIS WEB SITE BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATIONS, INCIDENTAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION) RESULTING FROM THE USE OR INABILITY TO USE THE WEB SITE AND THE MATERIAL, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You acknowledge, agree and understand that the Company shall not be held liable for any loss or damages of whatsoever kind for breach of confidential information, due to compromise in safety and security of Your Data in possession of AdmitSpot Partners.
You will indemnify, defend and hold harmless the Company, and all of its officers, directors, employees and agents, its parent company, and subsidiaries, from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature, including reasonable legal and accounting fees, directly or indirectly due to, arising out of or in connection with your access to and use of the Website and Services, including without limitation any third-party obtaining access to the Website through your Access Information, and your violation of any Applicable Laws. You further release AdmitSpot from all liability in relation to your Application.
Part 14 - General
  • Interpretation: In the event that one or more of the provisions hereof is declared to be illegal, invalid or unenforceable by a court of competent jurisdiction, You agree that any such unenforceable provision shall be severed here from without affecting the enforceability of the remaining provisions. Any failure on our part to take action following a breach hereof does not constitute a waiver of any of our rights hereunder.
  • Governing Law: These T&C are governed by the laws applicable in the Province of Ontario, Canada. You hereby acknowledge that any litigation ensuing from or related to your use of the Website shall be subject to the exclusive jurisdiction of the courts of the Ontario.
  • Entire Agreement: These T&C constitutes the entire agreement between the Parties with respect to its purpose and supersedes any previous agreement, representation, warranty or understanding, oral or written, express or implied, in that respect.
  • If there is a conflict between the provisions of these T&C and the provisions of the Agreements, the provisions of these T&C shall supersede and prevail.
  • The parties hereto confirm that they have requested that these T&C and the Agreements and all related documents be drafted in English. Any French translation hereof has been provided for information purposes only and does not have any legal value nor create any contractual relationship between the parties. Les parties aux présentes ont exigé que la présente entente et tous les documents connexes soient rédigés en anglais. Toute traduction de celle-ci est non-officielle, est fournie à des fins d’information seulement et ne crée aucun lien contractuel entre les parties.
